Please read these terms carefully before using JP Nadar services.
1. About These Terms
These Terms and Conditions ("Terms") govern your access to and use of the JP Nadar platform, website, and services (collectively, "the Services"), operated by J.P. Nadar ("we", "our", or "us").
By submitting an enquiry, creating an account, or using the Services in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. The Services
JP Nadar provides a multi-application SaaS platform designed for UK restaurants and takeaway businesses. The platform currently includes or will include the following applications:
- Invoice App: AI-powered invoice scanning, supplier management, and accountant export tools.
- Reputation App: Unified review inbox, monitoring across review platforms, and analytics.
- Marketing App: Customer relationship management, segmentation, and campaign tools (WhatsApp, SMS, email).
Access to specific applications is granted by JP Nadar at our discretion. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Eligibility and Account Approval
The Services are available to registered UK businesses only. Accounts are subject to manual approval by JP Nadar. Submitting an enquiry or registration form does not guarantee access to the platform. We reserve the right to refuse or revoke access at our sole discretion.
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business.
4. Subscriptions and Billing
Access to the Services is provided on a monthly subscription basis. Current pricing is published on our Pricing page. Prices are quoted in GBP and are exclusive of VAT where applicable.
- Subscriptions are billed monthly in advance.
- There are no long-term contracts. You may cancel at any time and retain access until the end of your current billing period.
- We reserve the right to change pricing with 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
- All payments are processed by Stripe. JP Nadar does not store card details.
- Refunds are not provided for partial months of service.
5. Usage Limits
Each subscription tier includes monthly usage limits (for example, invoice scans, marketing messages, and customer records). These limits are enforced within the platform. If you reach your limit, you will be notified and prompted to upgrade your plan.
We do not charge overage fees. Access to that feature is suspended until your limit resets at the start of the next billing month or you upgrade to a higher plan.
6. Acceptable Use
You agree not to use the Services to:
- Send unsolicited marketing messages (spam) to individuals who have not given consent.
- Violate UK PECR, UK GDPR, or any applicable data protection legislation.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Upload, transmit, or store unlawful, defamatory, abusive, or fraudulent content.
- Attempt to gain unauthorised access to other accounts, systems, or networks.
- Use the Services in any way that could damage, disable, or impair the platform.
Violation of this section may result in immediate suspension or termination of your account without refund.
7. Marketing and Communications Compliance
The Marketing App allows you to send WhatsApp messages, SMS, and email campaigns to your customers. You are solely responsible for ensuring that all marketing communications comply with:
- The UK Privacy and Electronic Communications Regulations (PECR).
- UK GDPR — including obtaining valid consent before sending direct marketing.
- The ICO's guidance on direct marketing.
- WhatsApp Business Platform policies set by Meta.
- Twilio's Messaging Policy.
JP Nadar provides the technical infrastructure for sending messages. We are not responsible for the content of campaigns or for any regulatory breaches arising from your use of the Marketing App.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain ownership of all data you input into the platform ("Customer Data"). By using the Services, you grant JP Nadar a limited licence to process your Customer Data solely to provide and improve the Services.
You are responsible for ensuring that any personal data you upload to the platform (for example, customer names, phone numbers, and email addresses) has been collected lawfully and that your customers have given appropriate consent for its use in marketing.
9. Intellectual Property
All software, design, trademarks, and content comprising the JP Nadar platform are the intellectual property of J.P. Nadar or our licensors. Nothing in these Terms transfers any intellectual property rights to you.
You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.
10. Third-Party Services
The platform integrates with third-party services including but not limited to: Stripe (payments), Twilio (SMS and WhatsApp), Google (reCAPTCHA, review data), Meta (review data), Resend (email), OpenAI (OCR and AI features), and Vercel (hosting). Your use of these services is subject to their respective terms and policies. JP Nadar is not responsible for the availability or conduct of third-party services.
11. Limitation of Liability
To the maximum extent permitted by applicable law, JP Nadar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from your use of or inability to use the Services.
Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim.
12. Termination
You may cancel your subscription at any time via your account dashboard or by contacting us. Access will continue until the end of your current billing period.
We may suspend or terminate your access immediately and without notice if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a legal or reputational risk to JP Nadar or third parties.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or via an in-platform notice at least 14 days before the changes take effect. Continued use of the Services after that date constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Scotland and England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Scotland.
